AFFILIATE CONTRACT TERMS & CONDITIONS
- This Licensing Agreement is made between the Radio Station wishing to broadcast the Britsound radio program and Britsound, LLC which hereby grants the Station the limited right and license for free, and the Station undertakes the obligation to broadcast on radio, in the Station’s market the Britsound radio program. This agreement is in accordance with the terms and conditions contained in this agreement. The Station shall broadcast the Program in its entirety without alteration, including music, program identification, promotional materials and credits, unless authorized in writing by Britsound. Britsound, LLC shall supply, if requested, at no extra charge, station identification for Station or promotional spots as reasonably requested by Station.
- The broadcast right and license granted by Britsound, LLC to the Station shall be exclusive to the Station as far as free AM or FM radio broadcast is concerned within the Station’s Metro Survey Area as defined by Arbitron (radio ratings service). The Station shall have the sole responsibility for the construction, installation, operation and maintenance of all facilities necessary to receive and broadcast the program distributed by Britsound, LLC.
- Compensation. As compensation for furnishing the Program to the Station, the Station agrees to provide (6) minutes per hour for each hour that the Program is broadcast. The Britsound program will not exceed 54 minutes in length per hour (that includes the 6 minutes of advertising spots allocated for Britsound, LLC). The remaining 6 minutes per hour are the Station's, and for the Station to sell as they wish. The Britsound Radio Show is 1 hour in length.
- The Station may preempt the Program for disaster news and major professional sports events. In such event, Station will broadcast any commercials provided by Britsound either at the time originally intended or, if such is not possible, anytime on the day of preemption between 6:00 a.m. and 10:00 p.m.
- Affidavit of Performance. The Station shall submit to Britsound, LLC containing an affidavit of performance by the Station setting forth 1) proof of broadcasting of the Programs and all contained herein on behalf of Britsound 2) the times and dates of any rebroadcast of the Program and 3) compliance with the station’s obligations under this agreement.
- The Station shall have the right to rebroadcast, for its own use in its Area of Exclusivity, any Program in whole, but not in part, (no portion may be rebroadcast without prior written consent of Britsound) at any time during the Terms of this Agreement.
- Content. No portion of any Program, whether live, delayed broadcast or rebroadcast, may be edited, altered, or deleted in any manner at any time. No clips, liners, sound bites, or any Program material from any Program may be used in any other programming or in any manner.
- Term duration. The term of this Agreement shall begin on the Commencement Date and continue for a period of one (1) year unless sooner terminated. The Term of this Agreement shall be automatically extended at the end of any given Term for an additional one (1) year Term, unless either party gives notice to the other party in writing at least thirty (30) days prior to the end of Term.
- The Station may terminate this Agreement if Britsound, LLC fails to make timely delivery of any Program for any reason other than acts beyond the control of Britsound, LLC (e.g. the death of the Program’s host).
- This Agreement may be terminated by Britsound, LLC immediately, without further notice and without any further obligations to the Station, if the Station breaches any term or condition of this Agreement, including, but not limited to, failing to broadcast the Program during the time specified, or failure to submit complete and accurate Affidavits of Performance in accordance with the Terms of this Agreement.
- Britsound, LLC shall indemnify, defend and hold harmless Station, and its employees, against all liabilities, actions, claims, losses, expenses caused by content of the show including claims for defamation, slander, infringement of copyright, and invasion of privacy.
- The person executing this Agreement on behalf of the Station hereby represents that he or she is legally authorized to execute this Agreement on behalf of the Station.
